Rezolve Announces $50 Million Private Placement with Two New Fundamental Long Hold Institutional Investors

NEW YORK, July 24, 2025 (GLOBE NEWSWIRE) -- Rezolve Ai (NASDAQ: RZLV), the company reinventing retail through real-time AI-driven consumer engagement, today announced that it has entered into definitive agreements with two new fundamental long hold Institutional Investors for aggregate gross proceeds of approximately $50,000,000, before deducting placement agent fees and other offering expenses.

The closing of the offering is expected to occur on or about July 25, 2025, subject to the satisfaction of customary closing conditions.

The Company expects to use the proceeds from the offering for working capital, potential accretive M&A opportunities, and general corporate purposes.

A.G.P./Alliance Global Partners is acting as lead agent and H.C. Wainwright & Co. is acting as co-lead agent in connection with the offering.
