Eva Live (NASDAQ:GOAI) has signed a letter of intent (LOI) to acquire a controlling 51% interest in Airbeam Wireless Technologies, with an option to purchase the remaining 49%, in a proposed transaction valuing Airbeam at approximately $16 million.
Eva Live announced it has signed an LOI to acquire a controlling interest in Airbeam Wireless Technologies, a wireless semiconductor company focused on 60GHz connectivity solutions for next-generation communications.
According to the company, Airbeam’s portfolio includes access to more than 260 patents and semiconductor design assets covering WiHD, WiGig and millimeter-wave technologies acquired from Lattice Semiconductor. Eva Live said the technology traces its origins to research at the University of California, Berkeley’s Berkeley Wireless Research Center and has benefited from more than $150 million in cumulative research, development and commercialization investment, according to Airbeam’s historical documentation.
If completed, the acquisition would support Eva Live’s strategy of combining artificial intelligence with advanced wireless communications for applications including autonomous systems, defense technologies, smart city infrastructure and satellite networking.
The company also outlined several areas of focus following the proposed acquisition, including AI-powered drone swarm communications, adaptive wireless networking, distributed mesh communications, edge AI infrastructure, smart cities and satellite communications.
The proposed acquisition would significantly broaden Eva Live’s technology portfolio beyond artificial intelligence software by adding wireless communications capabilities that could support multiple markets.
Management believes integrating Airbeam’s millimeter-wave technology with its AI platform could strengthen the company’s position in autonomous systems and defense communications. The transaction would also provide access to an established intellectual property portfolio rather than requiring Eva Live to develop similar technology internally.
However, investors should recognize that the announcement relates to a letter of intent rather than a completed acquisition. The transaction remains subject to negotiation of definitive agreements, and there is no assurance it will close on the proposed terms or at all.
Many of the commercial opportunities discussed by management—including satellite networking, defense systems and future space infrastructure—represent strategic objectives rather than existing commercial programs. Investors will likely focus on the company’s ability to complete the acquisition and translate the technology into commercial products and customer relationships.
