Corteva (NYSE:CTVA) said its board has approved the separation of the company’s seed operating segment into an independent, publicly traded company named Vylor Inc.
Vylor is expected to list on the New York Stock Exchange under the ticker symbol VYLR following completion of the separation.
Corteva shareholders of record at the close of business on September 24, 2026, will receive one Vylor common share for each Corteva common share they hold.
Vylor Distribution Scheduled for October 1
The distribution is expected to take place before 9:30 a.m. New York City time on October 1, 2026. Shareholders will receive cash instead of any fractional Vylor shares.
Corteva said the distribution is intended to qualify as tax-free for US federal income tax purposes, except for cash received in place of fractional shares.
Existing Corteva shareholders will not need to take any action to receive their Vylor shares.
The separation remains subject to the satisfaction of customary conditions.
When-Issued Trading Expected From September 25
Vylor shares are expected to begin “when-issued” trading on the NYSE under the symbol VYLR WI on September 25 and continue through September 30. Regular-way trading under VYLR is expected to begin on October 1.
During the September 25-30 period, Corteva shares are expected to trade in two NYSE markets. Regular-way shares will continue trading under CTVA, while an ex-distribution market will operate under CTVA WI.
Corteva Sets Investor Day Ahead of Separation
Corteva is scheduled to hold an Investor Day webcast on September 15, with presentations covering both companies following the planned separation.
At 9:00 a.m. EDT, the company plans to present Vylor as a standalone public company. A second session at 1:00 p.m. EDT will outline Corteva’s direction following the separation.
