Corteva Separation Into Two Companies Expected to Proceed October 1 After Court Ruling

Corteva, Inc. (NYSE:CTVA) said its planned separation into two independent publicly traded companies is expected to proceed on October 1, 2026, following a court ruling related to the transaction.

The separation involves spinning off Corteva’s seed operating segment into a new independent company, Vylor Inc.

The distribution is expected to be completed before 9:30 a.m. New York City time on October 1.

Court Denies California Request to Block Separation

On September 30, the US Court of Appeals for the Fourth Circuit reversed a district court order that had denied the State of California permission to file a motion seeking a temporary restraining order and preliminary injunction.

California had sought to delay the planned separation of Corteva’s seed business into Vylor.

The appeals court returned the matter to the district court for further consideration but did not express a view on the merits of California’s motion. It also denied California’s request for an injunction pending appeal as moot.

Following the remand, the district court denied California’s motion to block the separation, allowing the planned transaction to proceed according to Corteva’s expected timetable.
