SentinelOne Shares Drop 7% After Announcing $1.25 Billion Convertible Notes Offering

By Fiona Craig | October 13, 2026, 8:19 AM

SentinelOne (NYSE:S) shares declined 7% on Tuesday after the cybersecurity company announced plans to raise $1.25 billion through a private offering of convertible senior notes due in 2031.

The proposed financing will be offered to qualified institutional buyers and is intended to provide additional capital for corporate purposes, potential acquisitions and a share repurchase programme.

SentinelOne also plans to use part of the proceeds to fund capped call transactions designed to limit potential shareholder dilution if the notes are converted into equity.

The company has granted initial purchasers an option to acquire an additional $187.5 million of notes, potentially increasing the total offering to approximately $1.44 billion.

Separately, SentinelOne disclosed that it is discussing a proposed $400 million revolving credit facility, although completion of the convertible notes offering will not depend on securing that arrangement.

Convertible Notes Will Mature in 2031

The proposed $1.25 billion financing consists of convertible senior unsecured notes scheduled to mature in 2031.

The notes will not carry regular interest payments, allowing SentinelOne to raise capital without incurring periodic coupon expenses associated with conventional interest-bearing debt.

Convertible notes provide investors with debt securities that may be exchanged for shares under specified conditions.

In this case, SentinelOne will retain the option to settle conversions through cash payments, shares of its Class A common stock or a combination of the two.

This settlement flexibility allows the company to determine how it meets conversion obligations, subject to the terms of the securities.

Although the absence of regular interest payments reduces ongoing cash interest requirements, the notes will still represent financial obligations that must be addressed through repayment, conversion or other permitted settlement arrangements.

The company has not disclosed the final conversion price or other detailed pricing terms in the announcement.

SentinelOne Plans Up to $150 Million Share Buyback

SentinelOne intends to allocate part of the net proceeds towards repurchasing up to $150 million of its Class A common stock.

The buyback is expected to take place concurrently with the convertible notes transaction through privately negotiated arrangements.

Share repurchases reduce the number of outstanding shares when completed, potentially offsetting some of the dilution associated with future equity issuance.

However, the proposed repurchase amount represents only part of the overall financing.

SentinelOne also intends to use proceeds to fund capped call transactions and retain the remaining capital for general corporate purposes.

Potential uses include working capital, capital expenditure and strategic acquisitions.

The company has not announced any specific acquisition transactions associated with the financing.

The final allocation of funds will depend on the completion and terms of the offering, including the cost of the capped call arrangements.

Capped Call Transactions Designed to Limit Dilution

An important component of SentinelOne’s financing strategy is the planned use of capped call transactions.

These arrangements are designed to reduce potential dilution to existing shareholders if the convertible notes are exchanged for common stock.

Capped calls are financial contracts that can provide an economic offset to the value of shares potentially issued upon conversion, subject to specified conditions and price limits.

SentinelOne expects the cap price to represent a premium of at least 100% over the last reported sale price of its common stock on the pricing date.

The cap price establishes the upper share price level at which the capped call arrangements provide their intended economic protection.

If the stock price rises beyond that level, the arrangements may no longer fully offset the potential dilution or cash payments associated with conversion.

The company plans to enter into these transactions with the initial purchasers of the notes or other financial institutions.

While capped calls can help manage dilution, they involve additional costs and do not eliminate all potential effects of convertible debt on existing shareholders.

Offering Could Increase to Approximately $1.44 Billion

SentinelOne has granted the initial purchasers a 13-day option to purchase up to an additional $187.5 million in aggregate principal amount of the notes.

If exercised in full, the option would increase the total principal amount of the offering from $1.25 billion to $1.4375 billion.

The additional notes would provide SentinelOne with further financing capacity, although the net proceeds would depend on the final offering terms and related expenses.

The option also means that the ultimate size of the financing may differ from the initial announced amount.

The company has not confirmed whether the purchasers intend to exercise the additional allocation.

Company Discussing Separate $400 Million Credit Facility

Alongside the convertible debt offering, SentinelOne disclosed that it is in discussions to establish a $400 million revolving credit facility.

A revolving credit facility allows a company to borrow funds up to an agreed limit, repay amounts and potentially draw funds again during the facility’s term.

Such arrangements can provide financial flexibility for working capital requirements and other corporate activities.

However, SentinelOne emphasised that the convertible notes offering is not conditional on the execution of the proposed credit agreement.

The two financing initiatives are therefore being pursued separately.

The company has not disclosed final borrowing terms, interest rates or a completion timetable for the revolving credit facility.

There is also no guarantee that the proposed facility will be finalised.

Shares Fall as Investors Assess Financing Impact

SentinelOne’s shares declined 7% following the announcement, indicating a negative initial market reaction to the proposed financing.

Convertible debt offerings can raise concerns among investors because they may lead to the issuance of additional shares, potentially diluting existing ownership interests.

Although SentinelOne intends to use capped call transactions and share repurchases to manage this risk, the financing still introduces potential future conversion obligations.

Investors may also assess how the additional capital will be deployed and whether its use generates sufficient returns to justify the financing.

The absence of regular interest payments is a distinguishing feature of the proposed notes, while the company’s settlement options provide flexibility in managing conversions.

The transaction could also increase SentinelOne’s available financial resources for operations, investment and potential acquisitions.

Securities to Be Offered Through Private Placement

The convertible senior notes will be offered privately to qualified institutional buyers.

SentinelOne stated that the notes and any shares issued upon conversion have not been registered under the US Securities Act of 1933.

As a result, the securities cannot be offered or sold in the United States without registration or an applicable exemption from registration requirements.

The financing remains subject to the completion of the offering process and the finalisation of its terms.

For investors, the main developments to monitor include the final pricing and conversion conditions, the size of the completed offering, the implementation of the proposed share repurchases and any progress towards securing the separate revolving credit facility.

The announcement represents a significant potential financing transaction for SentinelOne, with the company seeking additional capital while introducing measures intended to reduce the impact of possible future share dilution.
