Wendy's Shares Rise 15% Following $1.4 Billion Takeover Proposal From Trian Fund Management

By Fiona Craig | October 28, 2026, 11:07 AM

Wendy’s (NASDAQ:WEN) shares climbed 15% on Wednesday after Nelson Peltz’s Trian Fund Management submitted a $1.4 billion proposal to acquire the fast-food restaurant chain and take it private.

The all-cash offer values Wendy’s at $7.35 per share, representing a premium of approximately 20% to Tuesday’s closing price. The proposal, disclosed in a regulatory filing with the US Securities and Exchange Commission, covers all outstanding shares not already owned by the investor group.

Trian currently holds a 16.3% stake in Wendy’s and has partnered with restaurant operator Flynn Group and investment firms BlueFive Capital and Sixth Street Partners.

Trian Consortium Proposes All-Cash Acquisition

The investor group intends to structure the transaction as a merger under Delaware law, with Trian retaining its existing equity interest and committing to vote its shares in favour of the acquisition.

The proposed $1.4 billion valuation assumes approximately 194 million fully diluted common shares outstanding.

According to the filing, the transaction would be funded entirely through cash provided by the consortium, without additional borrowing or financing conditions.

The investors also expect Wendy’s existing securitisation financing arrangements to remain in place following completion.

Investors Outline Plans for Wendy’s Turnaround

The proposal follows a prolonged decline in Wendy’s share price, which has fallen nearly 70% over the past five years.

In their letter to the company’s board, Peltz and Flynn Group Chief Executive Officer Greg Flynn described Wendy’s as being at a “critical juncture”.

The investors cited pressure on US consumer spending, economic uncertainty, continued commodity inflation and increasing competition in the quick-service restaurant sector.

The consortium believes Wendy’s requires substantial long-term investment to reduce leverage, improve operating performance and support its franchise network.

According to the proposal, private ownership would allow the company to pursue a multiyear restructuring programme without the short-term reporting pressures associated with public markets.

Acquisition Proposal Subject to Board Review

The offer remains non-binding and has not yet resulted in a definitive acquisition agreement.

Trian and its partners indicated that they are prepared to proceed with confirmatory due diligence and work towards finalising transaction documents within the coming weeks.

The proposal is subject to evaluation by a special committee of independent Wendy’s directors, which would assess the terms and make a recommendation.

No timetable for completing the proposed acquisition has been confirmed.

Wendy’s Outlook

The proposed $7.35-per-share acquisition represents an approximately 20% premium to Wendy’s previous closing price and would transfer ownership of the restaurant chain to a consortium led by one of its existing major shareholders.

The investors have identified operational improvements, balance sheet restructuring and franchise performance as priorities under potential private ownership.

Wendy’s shares rose 15% following the announcement, reflecting the market’s response to the proposed transaction.

Further developments will depend on the independent directors’ review, due diligence and negotiations over a definitive agreement.
