Marvell Technology (NASDAQ:MRVL) has agreed to acquire Lumentum (NASDAQ:LITE) in an all-stock transaction valuing the optical components manufacturer at an implied enterprise value of approximately $115 billion, as the companies seek to expand their combined position in semiconductor and optical networking technologies.
Under the agreement, Lumentum shareholders will receive 4.5 Marvell shares for each share held, equivalent to approximately $1,132 per Lumentum share. The terms represent a premium of around 23.9% based on the companies’ October 28 closing share prices, before speculation about the transaction emerged.
Lumentum shares gained 2.5% in pre-market trading on Monday before trading was halted pending news, while Marvell advanced 3.4%.
Following completion, existing Marvell shareholders are expected to own approximately 67% of the combined company on a fully diluted basis, with Lumentum shareholders holding the remaining 33%.
Both companies’ boards have unanimously approved the transaction.
Marvell Chairman and Chief Executive Officer Matt Murphy will retain his positions following the merger, while three Lumentum directors, including CEO Michael Hurlston, will join Marvell’s board.
The companies anticipate more than $1 billion in annual run-rate cost savings and expect the acquisition to increase Marvell’s non-GAAP earnings per share during the first year following completion.
The transaction is expected to close in the first half of 2028, subject to shareholder approval, regulatory clearance and other customary closing conditions.
The proposed combination would bring together Marvell’s semiconductor technologies and Lumentum’s optical components and systems businesses.
Optical networking technologies are increasingly important for high-speed data transmission, particularly as artificial intelligence infrastructure creates demand for greater connectivity capacity.
The companies expect the transaction to provide opportunities for operational integration and cost reductions across their businesses.
The anticipated annual savings of more than $1 billion represent a key financial objective of the merger, although the companies have not provided a detailed implementation timetable.
Alongside the acquisition announcement, Marvell confirmed that preliminary revenue for its fiscal third quarter of 2027 remains consistent with its previous guidance.
The company narrowed the expected variation around its revenue forecast midpoint to 2% in either direction, compared with the previous range of 5%.
The midpoint itself remains unchanged.
The revision indicates greater visibility into quarterly revenue performance as Marvell approaches the reporting period’s conclusion.
Lumentum separately announced fiscal first-quarter 2027 results that exceeded earnings expectations.
Adjusted earnings per share reached $4.57, compared with $1.10 in the corresponding period last year and the analyst consensus of $4.21.
Revenue increased to $1.26 billion from $533.8 million a year earlier, broadly matching market expectations.
Adjusted operating income rose to $534.4 million, exceeding the consensus estimate of $500.7 million.
The company’s adjusted gross margin improved to 53.2%, compared with 39.4% in the prior-year period.
The results reflected substantial growth across Lumentum’s optical components and systems operations.
Lumentum reported components and parts revenue of $754.2 million during the quarter.
Systems revenue reached $508.4 million, compared with $154.6 million in the corresponding period last year.
The increase in systems revenue contributed significantly to the company’s overall growth.
Chief Executive Officer Michael Hurlston highlighted strong demand across the business.
“Lumentum built on its strong momentum in the first fiscal quarter of 2027, delivering growth across all our businesses, with pump lasers and optical circuit switches (OCS) being the leading contributors,” Hurlston said.
Pump lasers and optical circuit switches are used in optical communications infrastructure, supporting the transmission and management of high-speed data traffic.
For its fiscal second quarter, Lumentum expects revenue between $1.575 billion and $1.625 billion, exceeding the analyst consensus of $1.48 billion.
The midpoint of the forecast is $1.6 billion.
Adjusted earnings per share are expected to range from $5.90 to $6.20, compared with market expectations of $5.07.
The company also forecasts a non-GAAP operating margin of 45% to 46%.
Lumentum expects approximately $350 million in sequential revenue growth, reflecting continued demand for its optical networking products.
Management described the anticipated increase as greater than the company’s entire quarterly revenue just two years earlier.
The proposed $115 billion acquisition would significantly expand Marvell’s exposure to optical networking technologies while combining two businesses serving high-performance computing and communications markets.
The companies expect more than $1 billion in annual cost savings and anticipate that the transaction will contribute positively to Marvell’s adjusted earnings per share in its first year after completion.
Meanwhile, Lumentum’s latest results demonstrate strong revenue and profitability growth, with its second-quarter outlook exceeding analyst forecasts.
Investors will be monitoring regulatory and shareholder approvals, progress towards the anticipated first-half 2028 completion and the companies’ ability to achieve their projected financial benefits.
