The European Investment Bank has deferred Brenmiller’s upcoming loan payment while both parties work toward a potential settlement that could reduce debt and improve financial flexibility.
Brenmiller Energy (NASDAQ:BNRG) announced that the European Investment Bank (EIB) has agreed to defer the company’s upcoming loan payment under its March 2021 credit facility while both parties continue negotiating a comprehensive settlement.
The waiver temporarily postpones an approximately €1.7 million payment due on July 28, 2026, and remains effective through September 15, 2026, unless extended or terminated earlier under its terms. According to Brenmiller, the deferral preserves near-term liquidity while discussions continue on a potential settlement of the existing loan facility.
The company said it expects a successful settlement would reduce the amount owed relative to the current obligation, lowering debt and improving financial flexibility. Brenmiller intends to use that flexibility to support its BrenX strategy, which aims to transition the business from primarily selling thermal energy storage systems to developing, owning, and operating integrated industrial energy assets under long-term commercial agreements.
The waiver removes an immediate financing obligation and gives Brenmiller additional time to negotiate what could become a meaningful balance sheet restructuring.
If completed, the proposed settlement may reduce leverage, preserve cash, and provide additional resources to fund the company’s strategic shift toward the BrenX business model. That transition is designed to build a larger base of recurring revenue through long-term energy infrastructure projects rather than relying primarily on equipment sales.
However, investors should note that the transaction has not been finalized. The company cautioned that discussions with the EIB are ongoing, and there is no assurance regarding the timing, final terms, or completion of a definitive settlement. Until an agreement is executed, the anticipated financial benefits remain prospective rather than guaranteed.
