AiRWA (NASDAQ:YYAI) has agreed to acquire import-export company Best Life in a transaction valued at up to $130 million, combining upfront payments with performance-based earn-outs as the company broadens its business portfolio alongside its artificial intelligence operations.
AiRWA announced a definitive agreement to acquire Hongkong Best Life Trade Co., Limited, an import-export company specializing in consumer and commercial goods traded between Japan, Hong Kong, and mainland China.
Under the agreement, AiRWA will acquire a 97% interest in Best Life through its holding company. The company will pay $30 million at closing and an additional $20 million within 90 days, with further contingent payments of $30 million if Best Life generates $10 million in fiscal 2026 revenue and $50 million if it reaches $25 million in fiscal 2027 revenue.
Best Life has operated for more than a decade and maintains formal cooperation agreements with customers including Alibaba Health Hong Kong, AlipayHK, Tmall, Taobao, and Cainiao. The company also operates a subsidiary in the United Kingdom and is establishing wholly owned subsidiaries in the United States, Canada, and New Zealand. Management projects annual revenue to exceed $100 million within the next three fiscal years based on its current business plans.
AiRWA said the acquisition complements its AI data training operations while expanding its exposure to businesses tied to the broader economy.
The acquisition represents a strategic shift toward greater revenue diversification as AiRWA seeks to reduce its dependence on technology licensing activities, where management cited increased counterparty risk, and social media advertising, where profitability has faced pressure despite resilient revenue.
Adding an operating business with an international customer base could provide an additional source of revenue alongside the company’s AI-focused operations. The performance-based earn-out structure also limits a significant portion of the purchase price to the achievement of future financial milestones, potentially aligning acquisition costs with business performance.
The announcement also provides investors with an update on the company’s broader strategy following delays to its previously announced real-world asset (RWA) exchange joint venture. Management indicated that acquiring Best Life offers an alternative avenue for growth while it continues developing its AI businesses.
