Silicon Motion shares slide 8% after unveiling $800 million convertible notes offering

Silicon Motion Technology (NASDAQ:SIMO) shares fell 7.9% in pre-market trading on Monday after the NAND flash controller specialist announced plans to raise $800 million through an offering of convertible senior notes due in 2031.

The proposed financing will be conducted through a private placement to qualified institutional buyers under Rule 144A of the Securities Act.

Silicon Motion also intends to give the initial purchasers a 13-day option to acquire an additional $120 million of notes, potentially increasing the total size of the transaction to $920 million.

Convertible notes will mature in August 2031

The securities will rank as senior unsecured obligations of Silicon Motion and will not carry regular interest payments.

The notes are scheduled to mature on August 15, 2031, unless they are converted, redeemed or repurchased before that date.

Investors will be permitted to convert their notes under specified circumstances before May 15, 2031. From that date onwards, conversion will be available at any time until two trading days before maturity.

Upon conversion, Silicon Motion plans to repay the principal amount in cash. Any value above the principal may be settled in cash, American depositary shares or a combination of the two, depending on the company’s election.

Proceeds to support corporate needs and debt repayment

Silicon Motion intends to use the net proceeds from the offering for general corporate purposes as well as to repay amounts currently outstanding under its credit agreement.

Any funds that are not immediately required may temporarily be invested in short-term, investment-grade, interest-bearing securities.

The sizeable financing gives Silicon Motion additional capital flexibility, although the potential conversion of the securities into ADSs introduces possible future dilution for existing shareholders.

Silicon Motion sets redemption and repurchase provisions

Silicon Motion will have the option to redeem the notes on or after August 20, 2029, provided its ADS price reaches or exceeds 130% of the applicable conversion price for a specified period.

Investors will also have the right to require the company to repurchase their notes following certain fundamental changes.

In addition, holders may require repurchase on August 15, 2029, at a price equal to the principal amount of the notes plus any accrued special interest.

The securities have not been registered under the Securities Act and will therefore be offered under an exemption from applicable registration requirements.

The 7.9% decline in Silicon Motion shares reflects the market’s cautious response to the substantial $800 million financing and the potential dilution associated with the convertible structure, despite the additional balance-sheet flexibility the transaction could provide.
