ACV Auctions (NASDAQ:ACVA) shares jumped 12% on Tuesday following a report that the digital automotive marketplace is exploring strategic alternatives, including a potential sale, after attracting takeover interest.

Bloomberg reported that the Buffalo, New York-based company is working with financial advisers on the review. ACV is also considering a strategic partnership as another possible option.

No transaction has been agreed, and the process could still result in ACV remaining an independent company.

Takeover interest puts ACV Auctions in focus

The prospect of a potential sale provided a significant catalyst for ACV shares after a difficult period for the stock.

Before Tuesday’s rally, ACV shares had fallen 47% over the previous year. The stock closed Monday at $7.26, giving the company a market value of approximately $1.2 billion.

According to people familiar with the matter cited by Bloomberg, any potential transaction remains weeks away.

The range of options under consideration means investors face several possible outcomes, including a full sale, a strategic partnership or no transaction.

An ACV representative declined to comment on the reported strategic review.

Strategic review follows Q2 earnings

The report emerged one day after ACV released its second-quarter financial results.

The company reported a 10% year-on-year increase in quarterly revenue, providing investors with an updated view of the underlying business shortly before reports of takeover interest surfaced.

ACV operates a digital marketplace connecting buyers and sellers of vehicles, with its technology platform supporting transactions across the automotive wholesale market.

Why ACV Auctions shares are rising

The 12% move in ACV Auctions stock reflects the possibility that takeover interest could lead to a transaction after a substantial decline in the company’s market valuation over the past year.

However, the strategic review remains at an early stage, and the information provided does not indicate that ACV has selected a buyer, agreed on valuation terms or committed to pursuing a sale.

For investors, the next development to watch is whether the reported interest progresses into a formal transaction or strategic partnership. Until then, expectations surrounding the review could remain an important driver of ACV shares.
