Qtrex Quantum Ltd (NASDAQ:QTEX) shares dropped 16% in premarket trading on Thursday after the company unveiled a $10 million registered direct offering involving more than 11 million ordinary shares.
The Israel-based company has entered into a definitive securities purchase agreement with institutional investors covering the sale of 11,111,111 ordinary shares. Participants include one existing institutional shareholder alongside a new global institutional investor.
Offering expected to close on August 21
Qtrex expects the transaction to close on or around August 21, 2026, subject to customary closing conditions.
A.G.P./Alliance Global Partners is serving as the sole placement agent for the offering.
The company plans to use the net proceeds for working capital and general corporate purposes after accounting for placement agent fees and other estimated transaction expenses.
The sharp decline in Qtrex shares reflects the potential dilution associated with the issuance of additional equity, as investors assess the impact of the capital raise on existing shareholders.
Qtrex targets quantum computing infrastructure
Qtrex is focused on developing Additively Manufactured Electronics technology for use within quantum computing infrastructure.
Following its acquisition of the AME platform, the company has been working on high-density and thermally optimised connectivity solutions designed for dilution cryostats, which provide the ultra-low-temperature environments required by many quantum computing systems.
Qtrex is also pursuing applications for its AME technology across defence, aerospace, missile, space and other mission-critical environments, broadening the potential commercial markets for the platform.
Medical technology portfolio remains part of strategy
Alongside its quantum and advanced electronics activities, Qtrex continues to develop its existing medical technology portfolio.
These operations include respiratory support and blood-monitoring platforms, although the company is also exploring opportunities to monetise selected parts of the medical business.
The $10 million capital raise provides Qtrex with additional funding as it advances its quantum infrastructure strategy and other technology programmes, although the prospect of shareholder dilution weighed heavily on the stock following the announcement.
