PMGC Holdings Inc. (NASDAQ:ELAB) has entered into a non-binding term sheet with Australian space technology company Orbit2Orbit Pty Ltd, setting out a potential collaboration spanning space-based biomedical research, aerospace manufacturing and a strategic equity investment.
The proposed agreement would bring together PMGC’s biotechnology and aerospace subsidiaries with Orbit2Orbit’s spaceflight capabilities, including a planned study examining experimental treatments for skeletal muscle loss in real microgravity conditions.
Under the proposed collaboration, PMGC subsidiary NorthStrive Biosciences Inc. would work with Orbit2Orbit on a live-animal research programme using the Australian company’s Mice2Space platform.
The study would test NorthStrive’s EL-22 and EL-32 drug candidates in mice exposed to genuine microgravity, with results compared against Earth-based control groups.
Both candidates are engineered probiotics designed to target proteins that restrict skeletal muscle growth. The research is intended to provide additional preclinical data on their potential effects under the muscle-wasting conditions associated with spaceflight.
NorthStrive would retain ownership of its research protocols, preclinical data and study results, while Orbit2Orbit would continue to own the Mice2Space platform and its associated technologies.
Orbit2Orbit would be responsible for designing and engineering the payload enclosure in Australia, while PMGC’s A&B Aerospace Inc. subsidiary would manufacture the final flight hardware at its operations in Azusa, California.
The term sheet also proposes a broader commercial relationship under which A&B Aerospace would become Orbit2Orbit’s preferred U.S.-based manufacturing partner.
Under that arrangement, A&B Aerospace could provide precision machining, fabrication and related manufacturing services for prototypes, spacecraft components and ground support equipment developed by Orbit2Orbit.
The planned partnership also includes a potential equity investment by PMGC in Orbit2Orbit.
PMGC intends to invest CAD $200,000 in Orbit2Orbit common shares at CAD $0.80 per share as part of the Australian company’s current private placement.
The investment is connected with Orbit2Orbit’s proposed listing on the Canadian Securities Exchange through a reverse takeover of Credissential Inc. (WHIP).
The term sheet remains non-binding, meaning none of the proposed transactions is guaranteed to proceed.
Completion would depend on due diligence, negotiation and execution of definitive agreements, required corporate approvals and other customary closing conditions.
As a result, there is currently no assurance that PMGC and Orbit2Orbit will enter into final agreements or that the proposed spaceflight research, manufacturing partnership and investment will ultimately be completed.
