Bending Spoons Agrees to Acquire Miro at $1.36 Billion Enterprise Value

Bending Spoons S.p.A. (NASDAQ:BSP) said Thursday it entered into a definitive agreement to acquire digital collaboration platform Miro in an all-cash transaction valuing the company at an enterprise value of $1.355 billion.

Including Miro’s net cash, the transaction values its equity at approximately $1.79 billion. Certain Miro shareholders have agreed to reinvest $295 million of their proceeds in newly issued Bending Spoons equity.

The acquisition is subject to customary closing conditions and regulatory approvals and is expected to close in the fourth quarter of 2026. The boards of both companies unanimously approved the agreement, and the businesses will continue to operate independently until completion.

Miro generates around $600 million in annual recurring revenue, with nearly 90% coming from business and enterprise customers. More than 250,000 organisations use the platform in their workflows, while Miro has nearly 4 million paying users and more than 750 customers generating over $100,000 each in annual recurring revenue.

Bending Spoons Chief Executive and co-founder Luca Ferrari said the company plans to invest in Miro’s performance, reliability and functionality following completion of the acquisition.

The agreement follows Bending Spoons’ completion last week of its $1.285 billion acquisition of Airtable, a platform used by more than 500,000 organisations.

Bending Spoons completed its Nasdaq initial public offering on July 1, 2026, raising $1.68 billion at $29 per share. Its shares were up 0.7% in premarket trading Thursday and have risen about 30% since the offering.
