Gold Fields Ltd ADR (NYSE:GFI) shares fell 13.5% in pre-open trading after Northern Star Resources rejected an unsolicited A$38.7 billion, or approximately $27.1 billion, takeover proposal from the South African gold producer.
Northern Star’s board unanimously rejected the proposal and indicated on September 24, 2026, that further discussions were not appropriate at that time.
Gold Fields subsequently filed a Form 6-K with the U.S. Securities and Exchange Commission on September 28 stating that no transaction had been agreed or completed.
The proposed combination would have created a gold producer with annual production of approximately 4.1 million ounces, with operations including exposure to the Kalgoorlie district in Western Australia.
Proposal Included Cash and Gold Fields Shares
Under the proposed scheme, Northern Star shareholders would have received 0.3125 new Gold Fields shares plus A$7.25 in cash for each Northern Star share.
Northern Star shareholders would have held approximately 33% of the combined company, with the proposal also providing for a secondary listing on the Australian Securities Exchange.
Gold Fields estimated potential synergies from the transaction at between $4 billion and $5 billion.
However, the estimate was preliminary and based solely on publicly available information without due diligence. It was also conditional on implementation of the proposed transaction and additional technical work.
BMO Raises Gold Fields Price Target
BMO Capital maintained its Market Perform rating on Gold Fields while increasing its price target to $50 from $48.
The rating and price-target change came as Gold Fields shares recorded a double-digit decline in premarket trading following Northern Star’s rejection of the takeover proposal.
Broader US Markets Trade Lower
The decline in Gold Fields shares came alongside losses in the broader US equity market.
The S&P 500 fell 0.3%, the Dow Jones Industrial Average declined 0.5% and the Nasdaq Composite was down 0.5%.
Other mining and materials stocks also traded lower during the session, while Gold Fields’ gold-mining peers recorded more moderate declines.
