IonQ Inc. (NYSE:IONQ) announced on Monday that it has agreed to acquire cybersecurity company Elisity Inc. in an all-stock transaction valued at up to $1.3 billion, expanding its security capabilities as businesses prepare for emerging threats associated with artificial intelligence and quantum computing.
The Maryland-based quantum technology company said the proposed acquisition includes up to $150 million in performance-based earnout payments, with the transaction intended to strengthen its position in enterprise cybersecurity and quantum-resistant security solutions.
Elisity operates an enterprise network security business, which IonQ expects to integrate into its existing quantum security portfolio. The acquisition is designed to broaden the company’s ability to address conventional cybersecurity risks alongside emerging threats associated with advances in computing technology.
IonQ Chief Executive Officer Niccolo de Masi said the combination would help the company serve organisations seeking to protect sensitive systems and information as quantum computing technology develops.
“We will be well positioned to help customers protect critical infrastructure and enterprise networks throughout the transition to the quantum era,” de Masi said.
The transaction comes amid increasing attention to the potential cybersecurity implications of quantum computing, particularly the possibility that sufficiently advanced quantum systems could eventually undermine encryption methods currently used to protect digital communications and sensitive information.
Although large-scale quantum computers capable of breaking widely used encryption standards are not yet commercially available, governments and businesses have begun assessing the transition towards security technologies designed to withstand future quantum attacks.
IonQ’s acquisition of Elisity would extend its operations beyond quantum computing hardware and related technologies into a broader range of enterprise security applications.
The company, which has a market capitalisation of approximately $16 billion, is among the largest publicly traded businesses focused primarily on quantum computing.
Quantum computing systems use quantum bits, or qubits, which can represent combinations of zero and one through quantum mechanical properties. This differs from conventional computing, which processes information using binary bits.
The technology remains largely experimental, although researchers and companies are exploring potential applications in areas including pharmaceutical development, financial modelling, materials science and cybersecurity.
Investment activity across the sector has increased as companies seek to develop commercially viable quantum systems. Financial institutions have expanded their quantum computing research capabilities, while governments continue to support programmes intended to advance the technology.
The proposed Elisity transaction also adds to IonQ’s recent acquisition activity.
Earlier in 2026, the company announced a $1.8 billion acquisition of Minnesota-based semiconductor manufacturer SkyWater Technology Inc., following its approximately $1.1 billion purchase of UK quantum computing developer Oxford Ionics in 2025.
These transactions reflect IonQ’s strategy of expanding its technological capabilities through acquisitions across quantum hardware, manufacturing and security.
The acquisition of Elisity would add an established enterprise cybersecurity business to that portfolio, potentially creating opportunities to offer security products to customers preparing for longer-term changes in computing infrastructure.
The final consideration under the agreement will depend partly on the achievement of the performance targets associated with the earnout provisions.
