Silgan Shares Rise 5.5% Following $3.4 Billion Trivium Packaging Acquisition Agreement

By Fiona Craig | October 19, 2026, 8:46 AM

Silgan Holdings (NYSE:SLGN) shares gained 5.5% on Monday after the company announced an agreement to acquire Trivium Packaging in a transaction valued at approximately $3.4 billion, alongside a partnership with American Industrial Partners (AIP).

The transaction will combine Trivium with Silgan’s Metal Containers segment and Food and Beverage Flat Cap Closures businesses to establish a new company, Silgan Metal Containers and Closures (Silgan MCC).

Silgan will retain a controlling 60% ownership interest in the combined business, while AIP will hold the remaining 40%.

The agreement also includes approximately $2.3 billion in cash proceeds for Silgan, which the company intends to use to repay certain existing borrowings.

Trivium Acquisition Valued at $3.4 Billion

The proposed all-cash acquisition assigns Trivium Packaging an enterprise value of approximately $3.4 billion.

According to Silgan, the valuation represents 7.1 times Trivium’s adjusted earnings before interest, taxes, depreciation and amortisation (EBITDA) over the last 12 months.

Including anticipated annual cost savings and operational synergies of $225 million, the company calculated an implied acquisition multiple of 4.8 times adjusted EBITDA.

The transaction will also involve Silgan contributing its existing Metal Containers and Food and Beverage Flat Cap Closures operations to the new business.

Silgan values these contributed operations at an enterprise value of approximately $3.8 billion, equivalent to 8.1 times their adjusted EBITDA over the last 12 months.

The combined enterprise value of the businesses is expected to be approximately $7.3 billion.

These valuation measures reflect the companies’ stated transaction assumptions, including projected synergies that have not yet been realised.

Silgan to Retain 60% Controlling Interest

Under the proposed ownership structure, Silgan will hold 60% of Silgan MCC, with American Industrial Partners owning the remaining 40%.

AIP will contribute approximately $1.0 billion in cash equity to support the transaction.

Silgan expects to receive approximately $2.3 billion in cash proceeds while maintaining majority ownership of the combined metal packaging business.

The company intends to allocate the proceeds towards retiring certain existing debt obligations.

The arrangement will allow Silgan to retain control of the metal packaging operations while introducing AIP as a minority shareholder.

The companies have not disclosed additional details about future dividend arrangements or potential changes to the ownership structure.

Combined Business to Operate Across Global Metal Packaging Markets

Silgan MCC will bring together manufacturing operations serving food and beverage customers in multiple markets.

The new entity will combine Silgan’s existing metal container and flat cap closure activities with Trivium’s packaging operations.

Silgan described the planned business as a diversified global metal packaging operation with an enterprise value of approximately $7.3 billion.

The combination is intended to integrate manufacturing capabilities, procurement activities and administrative functions across the businesses.

The company expects these measures to contribute to operating efficiencies and cost reductions over the first three years following completion.

The actual financial contribution will depend on integration costs, operational execution and market conditions.

Silgan Targets $225 Million in Annual Synergies

Silgan expects the transaction to generate approximately $225 million in annual synergies by the end of the third year following completion.

The company outlined a phased timetable for achieving these savings.

Period following completionExpected annual synergies
Year one$75 million
Year two$150 million
Year three$225 million

The anticipated benefits are expected to come from procurement efficiencies, operational improvements and reductions in selling, general and administrative expenses.

Silgan also forecasts that the transaction will increase adjusted earnings per share and free cash flow by at least 15%, including the projected synergies.

These figures represent management expectations rather than realised financial results.

The company did not provide a detailed breakdown of the costs required to achieve the anticipated savings in the information released.

Dispensing and Custom Containers Businesses to Remain Wholly Owned

As part of the proposed restructuring, Silgan will combine its Dispensing and Custom Containers businesses into a new operating segment named Silgan Dispensing Solutions.

Unlike Silgan MCC, this business will remain wholly owned by Silgan Holdings.

The restructuring will therefore create two distinct operating arrangements within the group.

Silgan MCC will operate as a majority-owned business in partnership with AIP, while Silgan Dispensing Solutions will remain under Silgan’s full ownership.

The company has not disclosed separate financial forecasts for the newly established dispensing segment.

Transaction Expected to Close in Mid-2027

Silgan’s board of directors has unanimously approved the proposed transaction.

Completion is expected in mid-2027, subject to regulatory approvals, the conclusion of applicable works council consultation procedures and other customary closing conditions.

The transaction remains subject to these requirements, and the companies have not confirmed a specific completion date.

Following closing, Silgan MCC will have a five-member board of directors.

Silgan will nominate three directors, while American Industrial Partners will nominate two.

This arrangement reflects Silgan’s planned majority ownership and controlling interest in the combined company.

Silgan Holdings will continue to maintain its corporate headquarters in Norwalk, Connecticut.

Investors Assess Financial Implications of Proposed Combination

The proposed acquisition would establish a metal packaging business valued at approximately $7.3 billion, combining Silgan’s existing operations with Trivium Packaging.

Silgan expects to retain a 60% ownership interest, receive approximately $2.3 billion in cash proceeds and reduce existing debt.

Management also anticipates annual synergies of $225 million by the end of the third year and an increase of at least 15% in adjusted earnings per share and free cash flow, including the projected benefits.

The transaction’s eventual financial impact will depend on regulatory approval, completion of the acquisition and the achievement of the expected integration savings.

Investors will be monitoring the approval process, the planned mid-2027 completion timetable and further disclosures about the financial structure of Silgan MCC.
