Super League Shareholders Approve Metaplanet Investment Involving 2,100 Bitcoin and $2.5 Million in Cash

By Fiona Craig | October 19, 2026, 9:39 AM

Super League Enterprise (NASDAQ:SLE) announced that shareholders approved all proposals presented at its 2026 Annual Meeting, including measures related to a proposed strategic investment by Japanese company Metaplanet, Inc. (3350).

The shareholder meeting took place on 16 October 2026, following the announcement of a definitive investment agreement between the two companies on 18 August.

Under the agreement, Metaplanet will contribute 2,100 Bitcoin and $2.5 million in cash to Super League through its wholly owned US subsidiary, Metaplanet Holdings, Inc.

In exchange, Metaplanet will receive common shares, convertible preferred shares and warrants that could provide additional equity ownership in Super League.

The transaction is expected to close during the fourth quarter of 2026, subject to outstanding conditions, including required Nasdaq filings.

Bitcoin Contribution Valued at Approximately $170 Million

The proposed investment includes the transfer of 2,100 Bitcoin to Super League at closing.

Under the agreement, the Bitcoin contribution was initially valued at approximately $132.1 million, based on the Coinbase Exchange closing price on 14 August 2026.

That date serves as the reference point for the transaction’s original valuation.

By 16 October 2026, the market value of the same Bitcoin holdings had increased to approximately $170 million, according to the company.

The difference reflects changes in Bitcoin’s market price between the two dates.

The transaction also includes a cash contribution of $2.5 million.

Based on the reported Bitcoin valuation as of 16 October, the combined market value of the proposed Bitcoin and cash contributions was approximately $172.5 million.

However, the final market value of the Bitcoin transferred will depend on its price at closing.

Metaplanet to Receive Common Shares and Preferred Stock

In exchange for its investment, Metaplanet will receive 44,859,400 shares of Super League common stock at an agreed price of $3.00 per share.

At that price, the common stock issuance represents approximately $134.6 million.

Metaplanet will also receive 100 shares of convertible perpetual preferred stock.

Convertible preferred stock may provide the holder with the ability to convert its investment into common shares under specified terms.

The announcement did not provide the detailed conversion provisions or economic rights associated with the preferred shares.

The transaction also includes warrants allowing Metaplanet to acquire additional common shares over a ten-year period.

These instruments could materially affect the company’s future share capital, depending on whether they are exercised.

Ten-Year Warrants Cover Up to 381 Million Shares

Under the agreement, Metaplanet will receive warrants to purchase up to 381 million additional shares of Super League common stock.

The warrants are divided into four tranches, with exercise prices ranging from $3.00 to $33.50 per share.

The ten-year term provides Metaplanet with an extended period during which it may exercise the warrants, subject to their contractual conditions.

Warrants give their holder the right, but not the obligation, to purchase shares at predetermined prices.

If exercised, the warrants would result in the issuance of additional common shares and could increase Metaplanet’s ownership interest.

The exercise of warrants could also provide additional capital to the company, although the amount would depend on the number of warrants exercised and their respective exercise prices.

The announcement did not disclose the allocation of the 381 million potential shares across the four tranches.

Consequently, the total proceeds that could arise from full warrant exercise cannot be calculated precisely from the supplied information.

The potential issuance of additional shares would also be relevant to existing shareholders because it could result in equity dilution.

Agreement Includes Option for Additional $210 Million Investment

Metaplanet will have the right to invest up to a further $210 million in Super League during the 24 months following completion of the initial transaction.

The additional investment right forms part of the broader agreement between the companies.

However, the announcement did not specify whether the additional capital would be provided through common equity, preferred shares or other financial instruments.

It also did not establish that Metaplanet is required to provide the full amount.

Any additional investment will depend on the applicable contractual terms and Metaplanet’s decision to exercise its rights.

The potential $210 million commitment is separate from the initial contribution of Bitcoin and cash.

Five-Year Share Lock-Up Agreed

Metaplanet has agreed to a five-year lock-up covering the common shares issued at closing.

The restrictions will also apply to common shares subsequently issued through the exercise of warrants or the conversion of preferred stock, subject to specified exceptions.

A lock-up agreement generally restricts the sale or transfer of shares during a defined period.

The arrangement is intended to establish conditions governing Metaplanet’s ability to dispose of its equity holdings following the transaction.

The company did not provide details of the exceptions to the restrictions in the supplied announcement.

Super League to Become Superplanet Following Closing

Super League plans to change its corporate name to Superplanet, Inc. once the transaction is completed.

The renamed company is expected to trade on the Nasdaq Capital Market under the ticker symbol SUPA, replacing its existing SLE symbol.

The proposed rebranding will accompany the company’s new ownership and capital structure.

Matt Edelman will remain Chief Executive Officer following the transaction.

Super League also confirmed that its existing advertising and media activities will continue as a separate operating segment within the renamed company.

The announcement did not provide revised revenue forecasts or operating targets for that segment.

The company’s future financial reporting will therefore be relevant to understanding how the Bitcoin holdings and existing operating business contribute to its overall financial position.

Shareholders Approve Transaction-Related Proposals

Super League confirmed that shareholders approved every proposal presented at the annual meeting on 16 October.

The approvals included measures necessary for the proposed investment by Metaplanet.

Matt Edelman, Chairman, Chief Executive Officer and President of Super League, commented on the voting results.

“Their approval brings us one step closer to redefining what this company can become,” Edelman said.

Although the shareholder approvals represent a required step towards completion, the transaction remains subject to additional closing conditions.

These include customary requirements and the submission of necessary filings to the Nasdaq Capital Market.

The companies currently expect the transaction to close in the fourth quarter of 2026.

Investors Await Completion of Bitcoin Investment

Super League’s shareholder vote advances the proposed investment involving 2,100 Bitcoin, $2.5 million in cash and a package of equity securities to be issued to Metaplanet.

The Bitcoin contribution was valued at approximately $170 million as of 16 October, compared with $132.1 million at the agreement’s August reference date.

The transaction also includes 44.9 million common shares, convertible preferred stock, warrants covering up to 381 million additional shares and the right to invest a further $210 million over two years.

Following completion, Super League intends to adopt the Superplanet name and Nasdaq ticker SUPA while retaining its advertising and media business as a separate operating segment.

The transaction’s financial implications will depend on its completion, Bitcoin price movements, the terms of the preferred securities and any subsequent equity issuances.
