Wendy's shares tumble as Trian steps back from potential takeover bid

Wendy’s (NASDAQ:WEN) shares dropped more than 14% in pre-market trading on Thursday after Reuters reported that Nelson Peltz’s Trian Fund Management has stepped back from pursuing a potential takeover of the fast-food restaurant chain.

Citing people familiar with the matter, Reuters reported that Trian does not currently intend to make a bid to take Wendy’s private, reversing expectations that had helped drive the shares substantially higher earlier this month.

Trian reportedly raises concerns over Wendy’s performance

According to the report, Trian has concerns surrounding several aspects of Wendy’s performance, including the company’s recent share price, valuation multiples and current strategic direction.

The development follows reports earlier in August that Trian, which has been a longstanding Wendy’s shareholder and owns approximately 16% of the company, was preparing a possible takeover proposal.

The investment firm had reportedly been considering a bid alongside a consortium of investors that included BlueFive Capital and Flynn Group, which operates Wendy’s franchises.

Previous takeover reports had lifted Wendy’s shares

Initial reports surrounding the potential transaction triggered a sharp rally in Wendy’s stock. Shares jumped 14.7% on August 12 as investors responded to the possibility that the restaurant company could be taken private.

Further gains subsequently pushed Wendy’s shares to around $9 and lifted its market capitalisation to approximately $1.72 billion.

The latest report reversed some of that takeover-related momentum. Wendy’s shares dropped 13.3% in after-hours trading on Wednesday before extending their decline during Thursday’s pre-market session.

Trian reportedly remains open to future options

While Trian has stepped back from a potential takeover proposal for now, Reuters reported that its sources said the investment firm is keeping an open mind about its future intentions.

The development leaves uncertainty surrounding whether takeover discussions could eventually return. For the moment, however, the removal of expectations for an imminent bid has shifted investor attention back towards Wendy’s operating performance, valuation and strategic direction.
