BCB Bancorp (NASDAQ:BCBP) shares declined 4.9% in pre-market trading after the New Jersey-based community bank announced a common stock offering, plans to sell a portfolio of problem loans and expectations for a substantial third-quarter loss.
The company priced an underwritten public offering of 11 million common shares, targeting gross proceeds of $85.25 million before underwriting discounts, commissions and other estimated expenses.
BCB Bancorp intends to use the net proceeds for general corporate purposes, including maintaining liquidity, funding working capital, supporting bank capital and reducing debt.
The offering is expected to close on 18 September 2026, subject to customary closing conditions.
BCB Bancorp is marketing approximately $210 million of problem loans as part of its efforts to address credit quality issues.
The bank also expects to transfer an additional $96 million of commercial real estate and cannabis-related loans into its held-for-sale portfolio.
The planned transactions are expected to result in significant charges, contributing to the company’s projected loss for the third quarter.
BCB Bancorp currently anticipates a quarterly net loss of between $126.2 million and $136.1 million.
Its provision for credit losses is expected to range from $112 million to $120 million, including an estimated $87 million pre-tax loss associated with loan sales and transfers.
The company also expects to record a valuation allowance against approximately $50 million of net deferred tax assets.
Following the disclosures, Keefe, Bruyette & Woods maintained its Market Perform rating on BCB Bancorp but reduced its price target to $8.35 from $11.00.
The revised target followed the bank’s announcement of its expected credit-related charges, planned loan disposals and projected quarterly loss.
BCB Bancorp’s shares declined despite gains across the broader US equity market. The S&P 500 and Dow Jones each advanced 0.9%, while the Nasdaq rose 1.2%.
The bank’s pre-market decline followed its company-specific announcements, including the potential dilution associated with the share offering and the expected financial impact of its loan portfolio adjustments.
The planned capital raise and loan transactions represent significant changes to BCB Bancorp’s balance sheet as it seeks to address credit exposures and strengthen its financial position.
