Zhibao Technology (NASDAQ:ZBAO) has signed a non-binding letter of intent to acquire MeVX, a multi-chain crypto trading platform with approximately 2 million users, potentially extending the InsurTech company’s operations into on-chain trading infrastructure.
Zhibao has reached a preliminary agreement to acquire MeVX, a non-custodial, multi-chain trading terminal focused on on-chain assets, including meme-asset trading.
MeVX connects users directly with third-party decentralized trading infrastructure rather than operating as a centralized exchange. Its platform supports major blockchain networks including Solana, Ethereum, BNB Chain and Base and provides trading and analytics tools.
According to Zhibao, MeVX has accumulated approximately 2 million users and $8 million in sticky deposits. It has also established Vietnamese-language localization and community operations in Vietnam, which the company views as a base for potential expansion elsewhere in Southeast Asia.
The announcement does not disclose a proposed purchase price, consideration structure or financial information for MeVX such as revenue or profitability.
Importantly, the LOI is non-binding. Zhibao currently expects a definitive purchase agreement to be executed within the next 12 months, assuming the required conditions are satisfied.
The proposed MeVX acquisition could materially broaden Zhibao’s business profile. Its existing operations are primarily focused on digital insurance brokerage and its 2B2C embedded insurance model in China, while MeVX operates in decentralized crypto trading infrastructure.
That makes the strategic rationale and eventual financial contribution of MeVX important areas to assess if the transaction progresses. The reported user base provides an indication of platform reach, but the release does not provide revenue, earnings, trading-volume or other financial metrics that would allow investors to evaluate MeVX’s contribution to the combined business.
The absence of transaction pricing is another key limitation at this stage. Without the purchase price and financing or consideration structure, investors cannot yet assess the potential impact on Zhibao’s balance sheet, cash resources or existing shareholders.
There are also several conditions between the LOI and completion. These include due diligence, audit procedures, compliance with applicable PRC and U.S. SEC requirements and completion of Zhibao’s De-Classification Restructuring, if necessary.
As a result, the announcement establishes a potential new strategic direction for Zhibao, but considerable transaction uncertainty remains until definitive terms are agreed.
The primary catalyst will be whether Zhibao and MeVX execute a definitive purchase agreement within the anticipated 12-month period.
Investors can also watch for disclosure of the acquisition price and consideration structure, MeVX financial performance and further details on the strategic relationship between the crypto platform and Zhibao’s existing insurance operations.
Progress on due diligence, regulatory requirements and Zhibao’s De-Classification Restructuring will also determine whether the proposed acquisition advances toward completion.
