Centrus Energy Acquires Westerman Holdings for $116 Million to Expand Manufacturing Capacity

By Fiona Craig | October 19, 2026, 8:56 AM

Centrus Energy Corp. (NYSE:LEU) announced the acquisition of Westerman Holdings for approximately $116 million, as the nuclear fuel supplier seeks to expand its manufacturing capabilities and secure components required for its uranium enrichment operations.

The transaction was financed through approximately $95 million in cash and $21 million in equity.

Centrus shares advanced following the announcement, although the company did not provide a specific percentage movement in the information released.

The acquisition brings an existing supplier of centrifuge components under Centrus’s ownership and adds manufacturing operations serving the nuclear, oil and gas, and broader industrial sectors.

Centrus expects the transaction to contribute positively to adjusted earnings per share during the first year following completion.

Acquisition Secures Existing Centrifuge Component Supplier

Westerman Holdings currently manufactures centrifuge casings and other major components used in Centrus’s uranium enrichment operations.

By acquiring the company, Centrus intends to integrate a portion of its manufacturing supply chain and increase control over the production of equipment required for its planned capacity expansion.

Centrifuges are used in uranium enrichment to separate uranium isotopes, a process that produces fuel suitable for use in commercial nuclear reactors.

Manufacturing the specialised components required for these systems is an important part of developing and maintaining enrichment capacity.

Centrus said the acquisition would support its ability to obtain these components as it expands production.

The company also expects the integration to reduce certain project costs and improve operational efficiency.

However, it did not disclose specific cost-saving targets or a timetable for achieving the anticipated efficiencies.

Transaction Supports Uranium Enrichment Expansion

The acquisition forms part of Centrus’s previously announced multibillion-dollar programme to expand uranium enrichment capacity.

The company is investing in manufacturing and production capabilities intended to support the development of additional enrichment infrastructure.

Westerman’s existing relationship with Centrus means the acquired business already produces components used in the company’s centrifuge systems.

Bringing these activities under common ownership is intended to provide greater coordination between equipment manufacturing and enrichment capacity development.

Centrus expects the transaction to improve supply chain integration as it progresses with its expansion plans.

The company has not provided revised capital expenditure forecasts or updated enrichment capacity targets specifically associated with the acquisition.

Centrus Expects First-Year Earnings Contribution

Centrus anticipates that the acquisition will be accretive to adjusted earnings per share during the first year following closing.

An accretive acquisition is one that is expected to increase the acquiring company’s earnings per share relative to its performance without the transaction.

The anticipated contribution will depend on Westerman’s financial performance, integration costs and the operational benefits achieved following the acquisition.

Centrus also expects to reduce project costs through closer coordination of manufacturing and procurement activities.

The company did not disclose Westerman’s annual revenue, adjusted EBITDA or net income in the announcement.

As a result, the acquisition’s expected financial contribution cannot be independently quantified from the information provided.

Westerman Adds Industrial Manufacturing Operations

Founded in 1909, Westerman operates four manufacturing facilities across Ohio, Oklahoma and Wyoming.

The company employs approximately 400 people and produces equipment for customers in several industrial markets.

Its operations include manufacturing products for upstream and midstream oil and gas activities, engineered industrial systems and specialised nuclear applications.

Westerman also produces nuclear-grade equipment, including uranium hexafluoride (UF6) cylinders.

UF6 cylinders are used for the handling, storage and transportation of uranium hexafluoride, a material associated with uranium conversion and enrichment processes.

The acquisition therefore expands Centrus’s manufacturing activities beyond components used exclusively in its own enrichment operations.

Westerman’s existing industrial customer relationships will also become part of the enlarged group’s business.

Management Highlights Supply Chain Integration

Amir Vexler, President and Chief Executive Officer of Centrus Energy, said the acquisition would support the company’s manufacturing expansion and broaden its customer base.

“Bringing Westerman in-house demonstrates our commitment to securing our supply chain to support our build-out while adding to our capabilities and expanding our customer base,” Vexler said.

The transaction is intended to address both the availability of centrifuge components and the development of additional industrial manufacturing capabilities.

Centrus expects the combination to provide operational benefits as it advances its enrichment capacity programme.

The extent of those benefits will depend on the integration of Westerman’s operations and the execution of the company’s expansion plans.

Westerman to Retain Name and Existing Operations

Following the acquisition, Westerman will continue operating under its existing name as a subsidiary of Centrus Energy.

The company has also announced changes to Westerman’s management structure.

Jacob Garrett, currently Chief Executive Officer of Westerman, will become President of Westerman and take on the additional role of Vice President of Centrus Energy.

The arrangement is intended to maintain operational continuity while incorporating Westerman into Centrus’s wider business.

Centrus did not announce plans to close facilities or reduce Westerman’s workforce as part of the transaction.

The company also did not disclose additional organisational changes beyond the management appointments.

Transaction Advisers and Financing Structure

The approximately $116 million acquisition consideration consists of two components: around $95 million in cash and $21 million in equity.

The cash component represents approximately 82% of the total consideration, with equity accounting for the remaining 18%.

Centrus did not provide further details about the equity instruments issued or the effect of the transaction on its capital structure.

Barclays acted as financial adviser to Centrus.

Wachtell, Lipton, Rosen & Katz served as legal counsel for the transaction.

The announcement did not include additional information about transaction-related expenses or financing arrangements beyond the disclosed consideration.

Investors Assess Manufacturing and Supply Chain Expansion

Centrus Energy’s acquisition of Westerman Holdings adds an established industrial manufacturer and existing centrifuge component supplier to the company’s operations.

The transaction supports Centrus’s multibillion-dollar uranium enrichment expansion programme while introducing additional manufacturing activities serving non-nuclear customers.

Management expects the acquisition to contribute to adjusted earnings per share during the first year and generate operational efficiencies through greater supply chain integration.

Investors will be monitoring Westerman’s contribution to Centrus’s financial results, progress on enrichment capacity expansion and any subsequent disclosures about integration costs and expected savings.

The acquisition’s longer-term financial impact will depend on manufacturing demand, operational performance and the execution of Centrus’s investment programme.
