ON Semiconductor Shares Rise 3% as Q3 Earnings Beat Forecasts and AI Data Centre Outlook Strengthens

By Fiona Craig | November 03, 2026, 8:51 AM

ON Semiconductor (NASDAQ:ON) shares climbed more than 3% in US premarket trading on Tuesday after the chipmaker reported third-quarter 2026 earnings above analyst expectations and issued stronger-than-anticipated guidance for the fourth quarter. The company also announced plans to acquire integrated voltage regulator specialist Ferric for up to $775 million and revised the terms of its proposed acquisition of Synaptics.

The semiconductor manufacturer reported third-quarter earnings per share of $0.90, exceeding the Wall Street consensus estimate of $0.87. Revenue reached $1.72 billion, slightly ahead of analyst expectations of $1.70 billion.

Management highlighted accelerating demand from artificial intelligence data centres and industrial customers, with AI data centre revenue increasing 39% sequentially and 175% year over year.

Third-Quarter Earnings and Revenue Exceed Expectations

ON Semiconductor delivered adjusted earnings per share of $0.90 for the third quarter, surpassing the analyst consensus forecast by $0.03.

Revenue of $1.72 billion exceeded market expectations by approximately $20 million.

The company also reported that revenue, gross margin and earnings per share were above the midpoint of its own quarterly guidance ranges.

The results reflected continued demand for the company’s power management and semiconductor technologies, particularly in markets requiring higher energy efficiency and power density.

Chief Executive Officer Hassane El-Khoury highlighted the contribution of AI infrastructure and industrial applications.

“Increasing power requirements are driving accelerated demand in our AI data center and industrial end markets, as customers adopt and ramp our differentiated products,” El-Khoury said.

The results demonstrated the company’s ability to exceed its financial targets, although the earnings and revenue beats were relatively modest compared with analyst expectations.

Fourth-Quarter Earnings Guidance Exceeds Wall Street Forecasts

ON Semiconductor provided a stronger-than-expected earnings outlook for the final quarter of 2026.

The company forecasts fourth-quarter earnings per share of between $0.95 and $1.07.

The midpoint of the guidance range is $1.01, compared with the analyst consensus estimate of $0.88.

This places the midpoint approximately 14.8% above market expectations.

The outlook suggests that management anticipates further earnings improvement during the fourth quarter, supported by demand across its key end markets.

The guidance was an important factor behind the positive premarket share price reaction.

However, analysts at Goldman Sachs indicated that the results and outlook may not be sufficient to drive a sustained move beyond the stock’s recent trading range.

“We expect the stock to be range bound following a quarter where revenue and EPS were in line with the Street, with guidance just above,” Goldman Sachs analysts said in a note.

The investment bank’s assessment reflects a more cautious interpretation of the results despite the company’s stronger fourth-quarter earnings forecast.

AI Data Centre Revenue Surges 175% Year Over Year

Artificial intelligence infrastructure emerged as a significant growth area for ON Semiconductor during the third quarter.

The company reported that AI data centre revenue increased 39% compared with the second quarter and 175% from the corresponding period last year.

The substantial increase reflects growing demand for semiconductor technologies used to manage power requirements in increasingly complex computing infrastructure.

AI data centres require advanced power management systems to support high-performance processors and other energy-intensive components.

ON Semiconductor is positioning its products to address these requirements as customers expand AI computing capacity.

El-Khoury said the company’s third-quarter performance reflected increasing adoption of its differentiated technologies.

“Our third quarter revenue, gross margin and earnings per share exceeded the midpoint of our guidance, while AI data center revenue grew 39% sequentially and 175% year-over-year,” he said.

The strong growth in AI-related revenue also contributed to management’s decision to increase its longer-term revenue target for the market.

ON Semiconductor Announces Ferric Acquisition for Up to $775 Million

ON Semiconductor announced an agreement to acquire Ferric, Inc., a developer of integrated voltage regulator technology.

Under the proposed transaction, the company will pay $600 million in cash at closing, with up to an additional $175 million payable depending on the achievement of specified revenue milestones.

The total potential consideration therefore reaches $775 million.

The acquisition is expected to close by the end of 2026 and will be financed using ON Semiconductor’s existing cash resources.

Ferric specialises in integrated voltage regulation and advanced magnetic technologies, which are relevant to the power management requirements of high-performance computing systems.

The company holds more than 40 patents and brings engineering expertise that ON Semiconductor expects to incorporate into its broader technology portfolio.

The transaction is intended to strengthen the company’s capabilities in power delivery and support its expansion into AI data centre applications.

AI Data Centre Revenue Target Raised Above $3 Billion by 2030

Following the announcement of the Ferric acquisition, ON Semiconductor increased its long-term AI data centre revenue target.

The company now expects AI data centre revenue to exceed $3 billion by 2030.

This represents a $500 million increase from its previous target.

The revised objective reflects management’s expectations for additional growth opportunities following the integration of Ferric’s voltage regulation technologies.

The acquisition is expected to broaden ON Semiconductor’s product capabilities in an area where demand is increasing alongside the expansion of AI computing infrastructure.

The higher target also demonstrates the company’s intention to increase its exposure to the AI data centre market over the coming years.

However, achieving the objective will depend on continued customer adoption, successful integration of acquired technologies and the broader development of AI infrastructure spending.

Synaptics Acquisition Revised to $5.7 Billion Cash Transaction

ON Semiconductor also announced revised terms for its planned acquisition of Synaptics, a semiconductor company specialising in technologies used in smart devices.

Under the updated agreement, ON Semiconductor will acquire the business for approximately $5.7 billion in cash.

The revised structure replaces an earlier all-stock agreement that carried a total enterprise value of approximately $7 billion, including debt.

The change represents a significant adjustment to the proposed transaction’s consideration and financing structure.

By moving to an all-cash arrangement, ON Semiconductor would no longer rely on issuing shares as the acquisition consideration.

However, the revised agreement would require a substantial cash commitment.

The announcement did not provide further details regarding the financing arrangements, expected completion date or regulatory conditions associated with the revised Synaptics transaction.

The proposed acquisition forms part of ON Semiconductor’s broader efforts to expand its technology portfolio.

Acquisition Strategy Expands Semiconductor Capabilities

The Ferric and Synaptics transactions represent separate components of ON Semiconductor’s acquisition strategy.

Ferric would add expertise in integrated voltage regulation and advanced magnetics, strengthening the company’s position in power management technologies.

The revised Synaptics transaction would expand its exposure to semiconductor technologies used in smart devices.

Together, the proposed acquisitions indicate management’s intention to broaden its technological capabilities while pursuing growth opportunities across multiple semiconductor markets.

The Ferric transaction is particularly relevant to ON Semiconductor’s AI data centre ambitions, given the increasing importance of efficient power delivery in high-performance computing infrastructure.

However, the proposed investments also represent significant financial commitments, particularly the $5.7 billion cash consideration associated with Synaptics.

Investors will be assessing the potential benefits of the acquisitions alongside their financing requirements and integration risks.

Outlook

ON Semiconductor’s third-quarter results demonstrated stronger-than-expected earnings and revenue, supported by accelerating demand from AI data centres and industrial customers.

Earnings per share reached $0.90, exceeding the $0.87 consensus estimate, while revenue of $1.72 billion surpassed expectations of $1.70 billion.

Management also issued fourth-quarter earnings guidance of $0.95 to $1.07 per share, with the midpoint above Wall Street forecasts.

AI data centre revenue increased 175% year over year, highlighting the growing contribution of advanced power management technologies to the company’s business.

The proposed Ferric acquisition, valued at up to $775 million, prompted ON Semiconductor to raise its 2030 AI data centre revenue target to more than $3 billion.

Meanwhile, the revised $5.7 billion cash acquisition of Synaptics represents another significant element of the company’s longer-term expansion strategy.

Investors will be monitoring the company’s ability to sustain AI-related revenue growth, deliver on its fourth-quarter earnings outlook and complete its proposed acquisitions.

The successful integration of new technologies and management of acquisition-related financial commitments will remain important considerations as ON Semiconductor expands its presence in high-growth semiconductor markets.
