FMC Corporation (NYSE:FMC) shares fell 35% after the agricultural sciences company sharply reduced its third-quarter 2026 financial guidance, citing weaker-than-expected demand, pricing pressures and elevated inventory valuations among its distribution partners.
The company now expects quarterly revenue of between $65 million and $125 million, alongside an adjusted EBITDA loss ranging from $510 million to $565 million.
The revised outlook reflects an estimated financial impact of $625 million to $675 million from commercial measures designed to address pricing imbalances and inventory issues across several major agricultural markets.
FMC is introducing targeted price reductions on selected products held by distributors while restructuring its US pricing and sales model.
The announcement raised concerns about the company’s near-term profitability, the pace of recovery in agricultural chemical demand and the potential implications for its financial position.
FMC attributed the substantial reduction in its third-quarter outlook to difficult market conditions and slower demand for its crop protection products.
The company said certain distribution partners continue to hold inventories purchased at prices above current market levels, limiting their willingness to replenish supplies.
Pierre Brondeau, FMC’s Chairman, Chief Executive Officer and President, said the combination of weak demand and inventory pricing had affected the company’s quarterly performance.
“Third-quarter demand was weaker than we expected, driven by challenging market conditions and elevated levels of higher-priced FMC products held in inventory by certain channel customers, which are limiting product movement and replenishment demand,” Brondeau said.
The revised guidance includes the anticipated impact of commercial interventions intended to reduce pricing disparities and support the movement of existing products through distribution channels.
These measures are expected to have a significant negative effect on FMC’s third-quarter financial results.
FMC explained that the current inventory difficulties are primarily related to the value and pricing of products held by distributors rather than unusually high physical stock volumes.
During 2025, the company reduced overall inventory levels across its distribution network, leaving many channel partners with historically low quantities of products.
However, some remaining inventories consist of older FMC products purchased at higher prices.
As agricultural chemical prices declined, the value assigned to these products became increasingly disconnected from prevailing market prices.
The situation has been exacerbated by stronger competition from generic agricultural chemicals, which has contributed to further price reductions.
As a result, distributors have faced difficulties selling certain products at prices consistent with their original acquisition costs.
This has constrained product movement and reduced demand for additional supplies from FMC, despite relatively low physical inventory levels.
The company is now seeking to address these pricing differences through targeted commercial measures.
FMC is implementing a series of commercial interventions across Brazil, Argentina, the United States and Canada.
The measures include targeted price reductions on selected products already held by distribution partners.
The objective is to bring the prices of affected inventory more closely into line with current market conditions, potentially improving product movement and supporting future replenishment orders.
However, the adjustments will result in a substantial financial charge or reduction in reported performance during the third quarter.
FMC estimates that its commercial actions will have a combined impact of between $625 million and $675 million.
The company is also undertaking a broader restructuring of its US commercial strategy.
Under the revised approach, FMC plans to move away from a pricing model characterised by high published selling prices and substantial rebates.
The new structure is intended to reduce the difference between gross and net selling prices, providing greater pricing transparency and limiting the accumulation of inventory valued above prevailing market levels.
The changes represent an attempt to address structural pricing issues that have contributed to weaker demand and disruption across the company’s distribution network.
Despite the substantial deterioration in its quarterly earnings outlook, FMC expects to remain compliant with its financial covenants as of 30 September 2026.
Financial covenants are contractual requirements associated with borrowing arrangements, often including limits on leverage or other measures of financial performance.
The company nevertheless intends to begin discussions with its banking syndicate regarding potential modifications to these agreements.
FMC said the proposed discussions are intended to preserve financial flexibility as it implements its commercial restructuring measures.
Although management expects to meet its existing covenant requirements at the end of September, the planned negotiations indicate that the company is seeking additional flexibility to manage the financial effects of its revised strategy.
Any covenant changes would be subject to discussions and agreement with the relevant lenders.
The company has not disclosed the specific amendments it may seek.
FMC’s revised outlook points to a substantial deterioration in third-quarter financial performance, with the company forecasting both sharply reduced revenue and a significant adjusted EBITDA loss.
The scale of the commercial adjustments highlights the challenges facing agricultural chemical manufacturers as falling prices, generic competition and inventory valuation differences affect demand.
The 35% decline in FMC shares reflected the market’s reaction to the revised guidance and concerns about the company’s near-term financial outlook.
Management’s efforts to reduce pricing disparities and restructure its US sales model could help address existing inventory issues, although the timing and financial benefits of those changes remain uncertain.
FMC is scheduled to publish its full third-quarter 2026 financial results on 29 October.
The report is expected to provide further detail on the impact of the commercial interventions, the company’s liquidity position and its expectations for demand and profitability in subsequent quarters.
