Clarivate Plc (NYSE:CLVT) reported third-quarter adjusted earnings above analyst expectations on Tuesday, but a substantial revenue shortfall and weaker-than-expected annual sales guidance weighed on investor sentiment. Shares of the global information and analytics provider fell 6.63% in premarket trading following the announcement.
The company reported adjusted earnings per share of $0.21, exceeding the consensus estimate of $0.18. However, revenue from continuing operations declined 9.2% to $481.6 million from $530.3 million a year earlier, falling well short of the $566.77 million expected by analysts.
The revenue decline was primarily attributed to business disposals, although organic revenue increased slightly compared with the previous year.
Clarivate’s third-quarter results reflected the impact of changes to its business portfolio, with reported revenue falling by $48.7 million year over year.
The company attributed most of the decline to inorganic disposals rather than deterioration across its remaining operations.
Organic revenue increased 0.4% compared with the corresponding period last year, indicating modest underlying growth despite the reduction in reported sales.
The distinction between organic and reported revenue is important as Clarivate continues reshaping its operations through divestitures.
Although adjusted earnings exceeded expectations, the revenue shortfall of approximately $85.2 million against consensus forecasts contributed to the negative market reaction.
Clarivate reported adjusted EBITDA from continuing operations of $218.2 million, compared with $222.2 million in the third quarter of the previous year.
The result represented a decline of 1.8%, reflecting lower reported revenue following the company’s portfolio changes.
However, certain underlying business indicators showed improvement.
Organic annual contract value, or ACV, from continuing operations increased 1.8% year over year.
ACV is an important measure of the annualised value of customer contracts and can provide insight into future recurring revenue trends.
Clarivate also reported a return to positive ACV growth in its Intellectual Property segment.
Chief Executive Officer Matti Shem Tov highlighted these developments in the company’s results announcement.
“Third quarter results continued to improve across key metrics, including organic recurring revenue growth and the return to positive ACV growth in the Intellectual Property segment,” Shem Tov said.
The improvement in recurring revenue indicators suggests progress in parts of Clarivate’s continuing business, even as reported revenue remains affected by divestitures.
Clarivate expects fourth-quarter revenue of between $490 million and $510 million, with a midpoint of $500 million.
That compares with the analyst consensus estimate of $502.4 million, placing the company’s central forecast slightly below market expectations.
For adjusted earnings, Clarivate projected fourth-quarter EPS of $0.14 to $0.18.
The midpoint of $0.16 is below the consensus forecast of $0.18, although the upper end of the company’s guidance matches that estimate.
The outlook indicates that Clarivate expects revenue to improve sequentially from the $481.6 million reported in the third quarter.
However, the guidance also suggests that the company continues to face challenges in delivering the revenue levels anticipated by analysts.
For fiscal 2026, Clarivate expects adjusted earnings per share of between $0.73 and $0.77.
The midpoint of $0.75 exceeds the analyst consensus estimate of $0.72, indicating that the company anticipates stronger adjusted profitability than the market had forecast.
However, its annual revenue outlook remains substantially below expectations.
Clarivate projected full-year revenue of $1.96 billion to $1.98 billion, with a midpoint of $1.97 billion.
That compares with the consensus estimate of $2.2 billion, representing a difference of approximately $230 million at the midpoint.
The gap between the company’s revenue guidance and analyst expectations highlights the impact of portfolio changes on its reported financial performance.
While adjusted earnings guidance remains relatively strong, investors will be assessing whether Clarivate can generate sustained organic growth across its remaining businesses.
Clarivate completed the sale of its Life Sciences & Healthcare segment on October 6, 2026.
The transaction generated net cash proceeds of $488.4 million.
The disposal represents a significant step in the company’s ongoing portfolio restructuring and follows its efforts to concentrate resources on continuing operations.
The sale also changes the composition of Clarivate’s revenue base, making comparisons with previous reporting periods more complex.
Management’s focus on organic revenue and ACV growth provides additional measures for assessing the performance of the remaining businesses.
The proceeds from the divestiture also provide financial resources, although the company did not specify their intended use in the reported results.
Clarivate’s third-quarter performance presented a mixed picture, with adjusted earnings exceeding expectations while revenue fell substantially short of consensus forecasts.
The company’s 9.2% decline in reported revenue was primarily driven by disposals, while organic revenue growth of 0.4% and a 1.8% increase in organic ACV indicated modest improvement in underlying operations.
The completion of the Life Sciences & Healthcare divestiture marks another stage in Clarivate’s restructuring, but its full-year revenue forecast remains significantly below analyst expectations.
Investors will be monitoring whether recurring revenue growth and improving contract values translate into stronger financial performance across the continuing business.
The company’s ability to sustain profitability while rebuilding organic revenue growth will remain an important consideration heading into 2027.
